TERMS AND CONDITIONS FOR EXTERNAL AGENTS AND AGENCIES

KONNECT TRAVEL KSA

Effective Date: 1st May 2025.

This Agreement ("Agreement") sets forth the terms and conditions under which external travel agents and agencies ("Agent(s)" or "You") may market, sell, and promote the travel experiences and packages ("Experiences") offered by Konnect Travel KSA ("Konnect Travel," "We," "Us," or "Our"). By accessing or using Our B2B Agent Portal, selling Our Experiences, or otherwise engaging in a business relationship with Konnect Travel, You agree to be bound by these Terms and Conditions.

1. APPOINTMENT AND SCOPE OF AGENCY

1.1. Appointment: Konnect Travel, at its sole and absolute discretion, may appoint You as a non-exclusive external agent to market and sell Our Experiences. Your appointment is subject to ongoing review and may be revoked by Konnect Travel at any time, with or without cause, by providing written notice.

1.2. Non-Exclusivity: You acknowledge and agree that Your appointment as an Agent is non-exclusive. Konnect Travel reserves the right to appoint other agents, agencies, and distributors, and to sell its Experiences directly to the public or through any other channels, without restriction.

1.3. Scope of Services: As an Agent, You are authorized to promote, market, and sell Konnect Travel's Experiences to Your clients, subject to the terms of this Agreement and the specific terms and conditions applicable to each Experience.

1.4. Term: This Agreement shall commence on the Effective Date and shall continue for an initial term of one (1) year ("Initial Term"). Thereafter, this Agreement shall automatically renew for successive one (1) year periods ("Renewal Terms") unless1 either Konnect Travel or the Agent provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term.

2. KONNECT TRAVEL EXPERIENCES AND PRICING

2.1. Product Range: Konnect Travel offers a diverse range of Experiences, including but not limited to, half-day tours, multi-city tours, cultural experiences, culinary tours, religious tours, business travel packages, historical tours, and other specialized packages across various cities in Saudi Arabia (e.g., Riyadh, Jeddah, AlUla).

2.2. Pricing and Commission:

a. All prices for Experiences listed on the Konnect B2B Agent Portal are commissionable at the prevailing rate applicable to each specific product.

b. Konnect Travel reserves the right to modify prices and commission rates at any time without prior notice. The applicable price and commission rate will be those displayed on the Konnect B2B Agent Portal at the time of booking.

c. You are responsible for ensuring that Your clients are quoted the correct and current prices for all Experiences.

2.3. Experience Details: Konnect Travel will provide detailed descriptions of each Experience, including inclusions, exclusions, itineraries, and specific terms. You are responsible for accurately conveying all such information to Your clients.

3. BOOKING PROCESS AND PAYMENT TERMS

3.1. B2B Agent Portal: All bookings for Konnect Travel Experiences must be made exclusively through the Konnect B2B Agent Portal, accessible via Your secure login and password. The Portal provides real-time searching, booking, and post-purchase management functionalities.

3.2. Booking Confirmation: Bookings are considered confirmed only upon successful processing of payment as per Clause 3.3.

3.3. Payment Terms:

a. Standard Payment: For Agents without credit terms, full payment for all booked Experiences is due at the time of booking.

b. Credit Terms: If Konnect Travel has expressly granted Your agency credit terms in writing, payment is due within seven (7) calendar days from the date of booking.

c. Booking Expiration: If payment is not received by Konnect Travel within the stipulated timeframe (either at the time of booking or within 7 days for credit-term agencies), the booking will automatically expire and cannot be confirmed. Konnect Travel is not liable for any loss or damages arising from expired bookings due to delayed payment.

3.4. Payment Responsibility: You are solely responsible for collecting all payments from Your clients for the Experiences booked through Konnect Travel.

3.5. Non-Refundable Bookings: All bookings made through Konnect Travel are strictly non-refundable, unless travel insurance (as per Clause 3.6) is purchased by the client at the time of booking. This non-refundable policy applies regardless of the reason for cancellation by the client.

3.6. Travel Insurance: Konnect Travel strongly recommends that all clients purchase comprehensive travel insurance at the time of booking to cover unforeseen circumstances, including but not limited to, cancellations, medical emergencies, trip interruptions, and lost luggage. You are responsible for informing Your clients about the importance of travel insurance.

3.7. Amendments and Changes: Any requests for amendments or changes to confirmed bookings are subject to Konnect Travel's sole discretion, availability, and may incur additional charges, which must be paid by the Agent before the changes are confirmed. Konnect Travel is not obligated to accommodate change requests.

4. AGENT RESPONSIBILITIES AND OBLIGATIONS

4.1. Accurate Representation: You shall faithfully and accurately represent Konnect Travel's Experiences, pricing, terms, and conditions to Your clients. You shall not make any false, misleading, or unauthorized representations, warranties, or guarantees regarding Konnect Travel or its Experiences.

4.2. Client Information: You are responsible for obtaining all necessary and accurate client information required for bookings, including but not limited to, names (as per passport), passport details, contact information, and any special requests or medical conditions. You shall ensure that all such information is correctly entered into the Konnect B2B Agent Portal.

4.3. Full Disclosure to Clients: You must fully inform Your clients of all pros and cons, inclusions, and exclusions of each package and experience, including but not limited to:

a. Visa requirements and necessary documentation.

b. Health and safety regulations applicable to Saudi Arabia.

c. Any specific restrictions or requirements related to the Experience (e.g., age limits, physical fitness).

d. Konnect Travel's non-refundable booking policy (unless insurance is purchased).

e. Baggage allowances, transportation details, and accommodation standards.

4.4. Compliance with Laws: You shall comply with all applicable laws, regulations, and governmental requirements in Saudi Arabia and any other relevant jurisdiction in the course of Your activities under this Agreement, including but not limited to, consumer protection laws and data privacy laws.

4.5. Confidentiality: You acknowledge that You will have access to confidential information of Konnect Travel, including but not limited to, pricing, commission structures, supplier details, marketing strategies, and client lists. You agree to keep all such information strictly confidential and not disclose it to any third party or use it for any purpose other than fulfilling Your obligations under this Agreement. This obligation of confidentiality shall survive the termination of this Agreement.

4.6. Marketing and Branding: You may use Konnect Travel's approved marketing materials, logos, and branding solely for the purpose of promoting and selling Konnect Travel Experiences, and strictly in accordance with any brand guidelines provided by Konnect Travel. Any unauthorized use or modification of Konnect Travel's intellectual property is strictly prohibited.

4.7. Secure Login: You are responsible for maintaining the confidentiality of Your Konnect B2B Agent Portal login credentials and for all activities that occur under Your account. You must notify Konnect Travel immediately of any unauthorized use or security breach.

5. COMMISSION AND INCENTIVES

5.1. Commission Calculation: Commissions will be calculated based on the prevailing commission rates displayed on the Konnect B2B Agent Portal at the time of booking, applied to the commissionable price of the Experience.

5.2. Commission Payout: Commissions will be paid out quarterly, provided that full payment for the corresponding bookings has been received by Konnect Travel and the travel has been completed.

5.3. Tax Withholding: Any applicable taxes required to be withheld by Saudi Arabian law from commission payments will be withheld by Konnect Travel, unless otherwise expressly agreed upon in writing between Konnect Travel and the Agent.

5.4. Incentives: Konnect Travel may, at its sole discretion, offer additional incentives such as prizes, bonuses, and familiarization (FAM) trips to its highest-performing agents. Such incentives are subject to specific criteria and terms announced by Konnect Travel.

6. LIMITATION OF LIABILITY AND INDEMNIFICATION

6.1. Limitation of Konnect Travel's Liability:

a. Maximum Liability: Notwithstanding anything to the contrary in this Agreement, Konnect Travel's maximum aggregate liability to the Agent, or any third party claiming through the Agent, for any and all claims, losses, damages, or expenses arising out of or in connection with any transaction or this Agreement shall be strictly limited to the amount of the specific transaction from which the claim arises.

b. Exclusion of Consequential Damages: In no event shall Konnect Travel be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to, loss of profits,2 revenue, data, business, or anticipated savings, arising out of or in connection with this Agreement or the use of Our services, even if Konnect Travel has been advised of the possibility of such damages.

c. Force Majeure: Konnect Travel shall not be liable for any failure or delay in performance under this Agreement due to causes beyond its reasonable control, including but not limited to, acts of God,3 war, terrorism, civil unrest, natural disasters,4 epidemics, pandemics, government regulations, strikes, labor disputes, or technical failures.

6.2. Agent Indemnification: You agree to indemnify, defend, and hold harmless Konnect Travel, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs,5 expenses (including reasonable attorney's fees), and demands arising out of or in connection with:

a. Your breach of any term or condition of this Agreement.

b. Your negligence, willful misconduct, or misrepresentation.

c. Any claims made by Your clients arising from Your actions or omissions, including but not limited to, failure to accurately inform clients of terms, conditions, or travel requirements.

d. Your failure to comply with applicable laws and regulations.

7. INTELLECTUAL PROPERTY

7.1. Ownership: You acknowledge and agree that all intellectual property rights, including but not limited to, copyrights, trademarks, service marks, trade names, logos, designs, patents, trade secrets, confidential information, and all other proprietary rights related to Konnect Travel's name, brand, website, B2B Agent Portal, pricing, Experiences, tour itineraries, marketing materials, and any other content or information provided by Konnect Travel ("Konnect Travel IP") are and shall remain the sole and exclusive property of Konnect Travel or its licensors.

7.2. Limited License: Konnect Travel grants You a limited, non-exclusive, non-transferable, revocable license to use the Konnect Travel IP solely for the purpose of fulfilling Your obligations under this Agreement and promoting Konnect Travel Experiences in accordance with Konnect Travel's guidelines.

7.3. Restrictions: You shall not, directly or indirectly:

a. Use Konnect Travel IP for any purpose other than expressly permitted herein.

b. Copy, reproduce, modify, adapt, reverse engineer, decompile, or disassemble any Konnect Travel IP.

c. Register or attempt to register any trademarks, trade names, or domain names that are similar to or confusingly similar to Konnect Travel IP.

d. Challenge Konnect Travel's ownership of its IP or the validity of any Konnect Travel IP.

7.4. All Rights Reserved: All rights not expressly granted to You in this Agreement are reserved by Konnect Travel.

8. DATA PRIVACY AND PROTECTION

8.1. Compliance: You acknowledge and agree that any personal data of clients or other individuals that You collect, process, or transmit in connection with this Agreement shall be handled strictly in accordance with the applicable data protection laws of Saudi Arabia.

8.2. Agent's Responsibilities: You are responsible for obtaining all necessary consents from Your clients for the collection, use, and transfer of their personal data to Konnect Travel for the purpose of booking and delivering the Experiences. You shall implement appropriate technical and organizational measures to protect such data from unauthorized access, loss, or disclosure.

8.3. Konnect Travel's Responsibilities: Konnect Travel will process personal data received from You in accordance with its Privacy Policy (available on Konnect Travel's public website) and applicable Saudi Arabian data protection laws.

9. DISPUTE RESOLUTION AND GOVERNING LAW

9.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of laws6 principles.

9.2. Exclusive Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement, including its existence, validity, interpretation, performance,7 breach, or termination, shall be referred to and finally resolved by arbitration administered by8 the Saudi Arabian Arbitration Center (SAAC) in accordance with its Arbitration Rules, as amended from time to time.

9.3. Arbitration Details:

a. The seat of the arbitration shall be in Riyadh, Kingdom of Saudi Arabia.

b. The language of the arbitration shall be Arabic.

c. The arbitration shall be conducted by a single arbitrator agreed upon by both Konnect Travel and the Agent. If the parties are unable to agree on an arbitrator within thirty (30) days of the commencement of arbitration proceedings, the arbitrator shall be appointed by the SAAC.

d. The arbitral award shall be final and binding on both parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.9

9.4. Injunctive Relief: Notwithstanding the foregoing, Konnect Travel reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights10 or to enforce its rights under11 this Agreement without being required to post bond or other security.

10. GENERAL PROVISIONS

10.1. Entire Agreement: This Agreement constitutes the entire agreement between Konnect Travel and the Agent with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

10.2. Amendments: Konnect Travel reserves the right to amend these Terms and Conditions at any time. Any amendments will be effective upon posting on the12 Konnect B2B Agent Portal or by providing written notice to You. Your continued use of the Portal or sale of Experiences after such amendments constitutes Your acceptance of the revised terms.

10.3. Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions13 shall remain in full force and effect, and the invalid, illegal, or unenforceable14 provision shall be replaced by a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.15

10.4. Waiver: No waiver of any provision of this Agreement shall be effective unless made in writing and signed by an authorized representative of16 Konnect Travel. A waiver of any breach shall not constitute a waiver of any subsequent breach.

10.5. Relationship of Parties: The relationship between Konnect Travel and the Agent is that of independent contractors. Nothing in this Agreement shall be construed as creating a partnership, joint venture, employment,17 or agency relationship between the parties,18 other than that of a non-exclusive external sales agent for Konnect Travel. Neither party has the authority to bind the other or incur obligations on behalf of the other without express prior written consent.

10.6. Assignment: You may not assign or transfer this Agreement or any of Your rights or obligations hereunder without the prior written consent of19 Konnect Travel. Konnect Travel may assign or transfer this Agreement, in whole or in part, without Your consent.

10.7. Notices: All notices and communications under this Agreement shall be in writing and delivered by email, certified mail, or reputable courier service to the addresses provided by each party. Notices shall be deemed given upon receipt.

10.8. Headings: The headings in this Agreement are for convenience only and shall not affect its interpretation.

BY SIGNING UP, USING, BOOKING OR CREATING AN ACCOUNT CONSTITUTES "I AGREE", OR BY OTHERWISE ENGAGING IN BUSINESS WITH KONNECT TRAVEL KSA, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS.
